Terms of Service
The agreement between you and TaviPay when you use our service.

These Terms of Service (“Terms”) govern your access to and use of the TaviPay payroll service (the “Service”) provided by Pro Accountants, a partnership constituted under the laws of Fiji (“we”, “us”, “our”). By creating an account, signing in, or using the Service, you agree to be bound by these Terms.
1. Definitions
Customer means the business entity that creates an account and contracts with us for the Service. Authorised User means an individual employee, contractor, or agent of the Customer who is granted access to the Service. Customer Data means any data, including personal information about the Customer’s employees, that the Customer uploads to or generates within the Service. Subscription Fees means the fees payable by the Customer for access to the Service.
2. Account, access, and security
To use the Service the Customer must create an account through our sign-up flow. The Customer is responsible for the accuracy of the information it provides. The Customer is responsible for maintaining the confidentiality of its credentials and for all activity that occurs under its account. The Customer agrees to notify us promptly of any suspected unauthorised access.
We may suspend an account if we reasonably believe it is being used in breach of these Terms or in a manner that creates security or legal risk for us or other customers. Where possible, we will notify the Customer before suspending the account and give a reasonable opportunity to remedy.
3. Subscription, billing, and price changes
The Customer pays Subscription Fees in advance, monthly or annually as selected during sign-up. Fees are stated in Fijian Dollars unless otherwise displayed. Late payments may incur reasonable interest at the rate prescribed by law.
The pricing in effect on our pricing page at tavipay.com/pricing is the pricing the Customer pays. If we change pricing, current Customers will receive at least ninety (90) days written notice before the new pricing takes effect, and any active annual prepay will be honoured to its renewal date at the original rate.
4. Customer responsibilities
The Customer is responsible for: the accuracy of all Customer Data; ensuring that its employees and other Authorised Users have been notified of and consent to the processing of their personal information by the Service where Fijian or other applicable law requires consent; ensuring that data files generated by the Service are reviewed and approved before submission to any regulator, bank, or third party; and complying with all laws applicable to the Customer’s business, including labour, tax, and immigration law.
The Service helps the Customer comply with statutory obligations but the Customer remains the responsible party for those obligations.
5. Acceptable use
The Customer agrees not to: use the Service in violation of any law; attempt to reverse-engineer, decompile, or interfere with the Service; resell or sub-licence the Service without our written agreement; upload content that is unlawful, defamatory, or infringes the rights of others; or use the Service to send unsolicited bulk email.
6. Customer Data and data ownership
As between the parties, all Customer Data remains the property of the Customer. We claim no ownership interest in Customer Data. We process Customer Data only to deliver and improve the Service, and as described in our Privacy Policy.
Customer Data is exportable in CSV or Excel format from the Service admin panel, on every subscription plan, at no additional fee, at any time, including after the Customer chooses to terminate the subscription.
7. Our service commitments
Compliance currency. We monitor publications from the Fiji Revenue and Customs Service (FRCS), the Fiji National Provident Fund (FNPF), the Fiji National University (FNU), the Employment Relations Advisory Board, and Wages Councils on a weekly basis. Any change that affects payroll calculations will be reflected in the Service before the next statutory filing deadline that the change impacts.
Support. Email support is available every business day from 08:00 to 17:00 Fiji time. Typical first response is within one business day. Anything blocking a live pay run receives same-business-day attention.
Availability. We aim to keep the Service available at all times, except for scheduled maintenance announced in advance, and unforeseen interruptions that we work to resolve as quickly as practicable. We do not provide a contractual uptime guarantee on the Starter, Professional, or Business plans; Enterprise customers may receive a service level agreement on request.
8. Intellectual property
The Service, including all software, designs, text, graphics, logos, and trademarks (other than those owned by the Customer), is and remains our property or that of our licensors. These Terms grant the Customer a limited, non-exclusive, non-transferable right to use the Service for the duration of the subscription.
9. Confidentiality
Each party agrees to protect the confidential information of the other with at least the same degree of care it uses for its own confidential information, and in any event with reasonable care. Confidential information may be disclosed only as needed to perform under these Terms or as required by law.
10. Warranties and disclaimers
We provide the Service with reasonable skill and care. To the maximum extent permitted by law, the Service is otherwise provided “as is” and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
Neither party will be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profit, revenue, business, or goodwill, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), or otherwise, will not exceed the total Subscription Fees paid by the Customer to us in the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded.
12. Indemnification
The Customer will defend, indemnify, and hold us harmless from third-party claims arising from the Customer’s breach of these Terms, the Customer’s misuse of the Service, or the Customer’s Customer Data infringing the rights of a third party.
13. Term and termination
These Terms remain in effect for the duration of the Customer’s active subscription. Either party may terminate at the end of the then-current billing period by notice through the Service or by email. We may terminate immediately if the Customer materially breaches these Terms and fails to remedy the breach within fourteen days of written notice.
On termination: the Customer’s right to access the Service ends; the Customer may export Customer Data for thirty days after termination; and after that period we may delete Customer Data, subject to any legal retention requirements.
14. Governing law and disputes
These Terms are governed by the laws of the Republic of Fiji. The parties submit to the exclusive jurisdiction of the courts of Fiji sitting in Suva to resolve any dispute arising out of or in connection with these Terms or the Service.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will notify the Customer by email and post a notice in the Service at least thirty days before the changes take effect. Continued use of the Service after that effective date constitutes acceptance of the updated Terms.
16. General
These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between the parties relating to the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Neither party may assign these Terms without the other’s written consent, except to a successor in connection with a merger or sale of substantially all of its assets. No waiver of any provision will be effective unless in writing.
